Quilt Limited Warranty

THIS LIMITED WARRANTY CONTAINS IMPORTANT INFORMATION ABOUT THE WARRANTY RIGHTS, OBLIGATIONS, LIMITATIONS, AND EXCLUSIONS WITH RESPECT TO THE QUILT PRODUCT AND INSTALLATION LABOR (EACH AS DEFINED HEREIN).

1. Warranty Coverage

1.1 Quilt Product and Labor Warranties. Subject to the terms and conditions of this Quilt Limited Warranty (the “Limited Warranty”), Quilt, Inc. (“Quilt”) provides the following warranties to the original purchaser of this Quilt home climate solution (“Quilt Product”), which includes (a) the units containing compressors placed outside (“Outdoor Units”), the indoor air handling units (“Indoor Units”), the smart module containing compute and radar sensing (“Quilt Sense”), and the connective piping between the Outdoor Unit and Indoor Unit (the “Linesets”) that collectively comprise the Quilt heat pump system (“Quilt Heat Pump System”), and (b) the thermostat device for temperature sensing and control (“Dial”). 

1.1.1 Quilt Product Warranty. Quilt warrants the components of the Quilt Product listed in the table below (the “Components”), and all internal parts incorporated in the Quilt Product at the time of shipment by Quilt (“Parts”), shall remain free from defects in materials and workmanship for the applicable warranty period set forth in the table below (the “Warranty Period”) for the applicable Component, from the date of installation of the Quilt Product (the “Quilt Product Warranty”). If Quilt determines any Component or Part of the Quilt Product has a defect in workmanship or materials during the applicable Warranty Period, Quilt will, at its option, repair or replace such defective Part or Component without charge for the defective Part or Component. Parts or Components used for replacement may be of like kind and quality and may be new or remanufactured. Defective Parts and/or Components of the Quilt Product must be made available to Quilt in exchange for the replacement Parts and Components and become the property of Quilt. This is Quilt’s sole and exclusive obligation and the sole and exclusive remedy under the Quilt Product Warranty. Any Part or Component of the Quilt Product that has either been repaired or replaced under this Quilt Product Warranty will be covered by the terms of this Quilt Product Warranty for the longer of (a) ninety (90) days after the date of installation of the repaired or replaced Part or Component, or (b) the remaining applicable Warranty Period for such Part or Component.

1.1.2 Quilt Labor Warranty. Quilt warrants the installation labor and/or installation services (collectively, “Installation Labor”) for the Quilt Product against defects in workmanship for the applicable Warranty Period set forth in the table below, from the date of installation of the Quilt Product (the “Quilt Labor Warranty) when an Authorized Quilt Service Provider is used for the installation of the Quilt Product. Where an Authorized Quilt Service Provider is used and Quilt determines that the defect is found to be due to negligence on the part of the Authorized Quilt Service Provider during installation, Quilt will correct the defect at no additional charge. 

Component Covered by Quilt Product Warranty

  • Quilt Heat Pump System (Indoor Unit, Outdoor Unit, Linesets & Quilt Sense)
    • Warranty period: 12 years (Labor Costs (as defined in Section 3.3) shall be included for the first 3 years of the Warranty Period.)
  • Dial
    • Warranty period: 3 years (Labor Costs (as defined in Section 3.3) shall be included for the first 3 years of the Warranty Period.)

Labor Covered by Quilt Labor Warranty

  • Installation Labor
    • Warranty period: 3 years

1.2 Subsequent Owners. Subject to all other terms and conditions in this Limited Warranty, the Quilt Product Warranty and Quilt Labor Warranty are transferable from the original purchaser of the Quilt Product to subsequent owners of the home where the Quilt Product was originally installed; provided the original Warranty Period will not be extended in duration or expanded in coverage, and provided further that the Quilt Product remains installed at the original site of installation. As used in this Limited Warranty, the term “Owner” shall refer to the then-current owner of the Quilt Product.

2. Conditions of Warranty

2.1 Authorized Quilt Service Provider. The Quilt Labor Warranty applies only to Quilt Products that are installed by Quilt’s in-house installation providers or one of Quilt’s approved contractors (collectively, “Authorized Quilt Service Providers”). The Quilt Labor Warranty is voided if the Quilt Product is installed by any installer other than an Authorized Quilt Service Provider. Having your Quilt Product installed or serviced by a qualified professional service technician that is not affiliated with Quilt will not void the Quilt Product Warranty provided that installation or service were conducted in accordance with the Instructions.  

2.2 Instructions. All Quilt official documentation providing mandatory directions for the installation, servicing, return shipping, and/or operation of the Quilt Product, including user manuals and similar instructional material, including all updates to such documentation and all associated service and technical bulletins distributed to Owners. 

2.3 Original Site of Installation. This Limited Warranty applies only while the Quilt Product remains at the site of the original installation.

2.4 Territory Restriction. This Limited Warranty applies only to installations within the continental United States, Alaska, Hawaii, and Canada.

2.5 No Enlargement or Extension of Warranty. The warranties provided under this Limited Warranty shall not be enlarged, extended, or affected by, and no obligation or liability shall arise or grow out of, Quilt providing, directly or indirectly, any technical advice, information and/or service to the owner in connection with the Quilt Product.

2.6 Quilt Instructions. This Limited Warranty is voided if the Quilt Product is not installed, serviced, or maintained in compliance with Quilt’s Instructions, such as sizing of the Quilt Product (e.g., number of Outdoor Units or Indoor Units), placement of the Quilt Product (e.g., location of Outdoor Units or Indoor Units), etc.

2.7 Unauthorized Use. Unauthorized use or improper maintenance of the Quilt Product (including the embedded software) may impair the performance thereof and may invalidate this Limited Warranty. Owner is responsible for maintaining the installed Quilt Product in accordance with Quilt’s Instructions to ensure the validity of the Limited Warranty, including without limitation, the requirement for Owner to have a qualified professional service technician conduct yearly maintenance and inspection of the Quilt Product, as set forth in the user manual for the Quilt Product. If a Quilt Product Warranty claim is filed, Quilt may require evidence of proper servicing of the Quilt Product in accordance with this Section.

3. Exclusions

Using third-party parts will not void the Quilt Product Warranty.

The following items are not covered by this Limited Warranty:

3.1  SERVICE CALLS WHERE NO DEFECT IN THE QUILT PRODUCT OR INSTALLATION LABOR COVERED UNDER THIS LIMITED WARRANTY IS FOUND.

3.2  Quilt Products installed in a building other than a residential dwelling.

3.3  Except as otherwise expressly provided herein, costs incurred for (a), any labor, or any other costs incurred for diagnosing, maintenance, repair, service, installing, removing, replacing, shipping, or handling, or replacement of the Quilt Product or any Parts or Components thereof (collectively, “Labor Costs”), or (b) compliance with local electric and building codes. 

3.4  Quilt Product installation or set-ups, including without limitation, the workmanship of any unauthorized installer or any installation performed contrary to Quilt’s Instructions (including without limitation, recommended placement of the Quilt Product or any Part or Component thereof). QUILT DISCLAIMS AND DOES NOT ASSUME ANY LIABILITY OF ANY NATURE FOR UNSATISFACTORY PERFORMANCE CAUSED BY INSTALLATION, REPAIR, OR MAINTENANCE THAT DEVIATES FROM QUILT’S INSTRUCTIONS.

3.5  Accident, abuse, negligence, or misuse of the Quilt Product (including without limitation any use of the Quilt Product contrary to the Instructions).

3.6  Scratches in or discoloration of finishes on the Quilt Product, or other aesthetic or superficial damage that does not affect the Quilt Product’s performance.

3.7  Parts or Components used in Quilt Products not designated, manufactured, marketed, sold, or supplied by Quilt for the Quilt Product or damages resulting from their use. 

3.8  Normal owner-required maintenance for the Quilt Product as outlined in the Instructions, including filter cleaning.

3.9  Improper or deferred maintenance of the Quilt Product contrary to Quilt’s Instructions, including without limitation, failure to maintain the Quilt Product in accordance with the requirements set forth in Section 2.6.

3.10  Damage caused by modification, repair, or service of the Quilt Product other than pursuant to Quilt’s Instructions.

3.11  Improper sizing of the Quilt Product that result from (a) deviations from Quilt’s Instructions, (b) incorrect information supplied by the Owner (e.g., size or configuration of the Owner’s home), or (c) any updates or changes to the home (e.g., changes to size or configuration of the home).

3.12  Quilt Products that have had a serial number modified, defaced, or removed. 

3.13  Damage to the Quilt Product caused by external factors such as natural disasters, rust, oxidation, operating the Quilt Product in a corrosive or wet environment (including those containing chlorine, fluorine, or any other hazardous or harmful chemicals or environmental factors, including sea- or salt-water), water, water condition, freezing, fire, other abnormal environmental conditions, lightning, power surges, fluctuations in or interruptions of electrical power or telecommunications of Internet networks, contamination from bacteria, mold, mildew, fungus, rodents, vermin, insects, other animal- or pest-related issues, or other natural acts.

3.14  Electricity or fuel costs or increases in electricity or fuel costs for any reason whatsoever, including additional or unusual use of supplemental electric heat.

3.15  Products installed outside the continental United States, Alaska, Hawaii, and Canada.

3.16  Software, even if packaged or sold with the Quilt Product.

4. Replaceable Components

Notwithstanding anything to the contrary in this Limited Warranty, the Owner of the Quilt Product may, on its own and without the services of an Authorized Quilt Service Provider, replace the existing Quilt Sense in the Indoor Unit of the Quilt Product with a new or upgraded Quilt Sense.

5. Disclaimer

EXCEPT AS OTHERWISE PROVIDED IN THIS LIMITED WARRANTY, QUILT MAKES NO OTHER WARRANTIES OF ANY KIND WHATSOEVER REGARDING THE QUILT PRODUCT OR THE INSTALLATION LABOR. QUILT DISCLAIMS AND EXCLUDES ALL WARRANTIES NOT EXPRESSLY PROVIDED HEREIN AND ALL REMEDIES WHICH, BUT FOR THIS PROVISION, MIGHT ARISE BY IMPLICATION OR OPERATION OF LAW, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, AND OF FITNESS OR SUFFICIENCY FOR ANY PARTICULAR PURPOSE. NO ONE OTHER THAN QUILT IS AUTHORIZED TO CHANGE THIS LIMITED WARRANTY IN ANY RESPECT OR TO CREATE ANY OTHER OBLIGATION OR LIABILITY FOR QUILT IN CONNECTION WITH THE QUILT PRODUCT OR THE INSTALLATION LABOR. QUILT DISCLAIMS ALL LIABILITY FOR THE ACTS, OMISSIONS, AND CONDUCT OF ALL THIRD PARTIES (INCLUDING, WITHOUT LIMITATION, ANY THIRD-PARTY INSTALLATION OR MAINTENANCE CONTRACTOR) IN CONNECTION WITH OR RELATED TO THE QUILT PRODUCT AND/OR THE INSTALLATION LABOR.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL QUILT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, INFRINGEMENT OF THIRD PARTY RIGHTS, LOST GOODWILL, LOST REVENUES OR PROFITS, WORK STOPPAGE, SYSTEM FAILURE, IMPAIRMENT OF OTHER GOODS, COSTS OF REMOVAL AND REINSTALLATION OF THE QUILT PRODUCT, LOSS OF USE, OR INJURY TO PERSONS OR PROPERTY ARISING OUT OR RELATED TO THE QUILT PRODUCT OR THE INSTALLATION LABOR, WHETHER BASED ON BREACH OF WARRANTY, BREACH OF CONTRACT, TORT, OR OTHERWISE, EVEN IF QUILT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL QUILT’S LIABILITY EXCEED THE ACTUAL PURCHASE PRICE OF THE QUILT PRODUCT.

SOME STATES DO NOT ALLOW LIMITATIONS ON WARRANTIES OR EXCLUSIONS OR LIMITATION OF DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.

7. Miscellaneous

7.1  If any clause in this Limited Warranty is found to be illegal or unenforceable, that clause will be severed, and the remainder of the Limited Warranty will be given full force and effect. As noted above, if a class action waiver of both court and arbitration class actions is found unenforceable, class arbitration will be expressly allowed under the Limited Warranty.

7.2  This Limited Warranty gives Owner specific legal rights, and Owner may also have other rights that vary by state, province, or jurisdiction. Likewise, some of the limitations in this Limited Warranty may not apply in certain states, provinces, or jurisdictions. The terms of this Limited Warranty will apply to the extent permitted by applicable law. For a full description of Owner’s legal rights, Owner should refer to the laws applicable in Owner’s jurisdiction and Owner may wish to contact a relevant consumer advisory service.

8. Warranty Claims Process

8.1  Prior to submitting a claim for warranty service, please review the applicable technical documentation to ensure proper installation and correct customer control adjustment for the Quilt Product. If the problem persists, please arrange for warranty service by contacting Quilt at [email protected].

8.2  To process a claim for warranty service, Owner will need to provide a copy of the original invoice or other proof of purchase, the product serial number, and documentation showing the original installation date and location. 

8.3  This provision applies solely with respect to the Dial. In addition to the foregoing, Quilt’s Instructions for return shipping for the Dial must be complied with. Quilt will have no warranty obligations with respect to a returned Dial if it determines, in its reasonable discretion after examination of the returned Dial, that the Dial is ineligible or not covered under the Quilt Product Warranty, pursuant to the terms of this Limited Warranty. Quilt will bear all costs of return shipping to the site of installation of the Quilt Dial and will reimburse any shipping costs incurred by the Owner, except with respect to any Dial that is ineligible or not covered under the Quilt Product Warranty, for which the Owner will bear all shipping costs.
