Reservation Agreement Terms & Conditions

These Quilt Reservation Agreement Terms and Conditions (together with the cover page, the “Quilt Reservation Agreement”) constitutes a legal agreement between you, the person identified above (“you” or “your”), and Quilt Systems, Inc. (“Quilt”, “us”, “our”, or “we”) governing your reservation to purchase and take delivery of a Quilt Product from Quilt.  

1. Reservation

You are reserving the Quilt Product through the pre-order system on our website, by: (a) providing certain information (e.g., size of home, number of rooms, etc.) that Quilt uses to provide an initial cost estimate (“Quote”), and (b) paying the Reservation Deposit, and Quilt (or Quilt’s third-party payment processor) will charge your bank or credit card company for the Reservation Deposit (collectively, the “Reservation”). We may withdraw or revise the Quote at any time if the information that you provided Quilt (e.g., size of home), that was used to create the Quote, is incorrect or has changed.  A “completed Reservation” means that (1) the Reservation form has been fully and accurately completed and submitted to Quilt, and (2) Quilt has received your Reservation Deposit.  Please remember that a Reservation Deposit only provides you with an approximate priority for the purchase of a Quilt Product.  It does not constitute the purchase price which you will be required to pay or any of the terms and conditions to which you must agree to be bound if you choose to purchase a Quilt Product when it is made available to you.  It is not possible to ship Quilt Products to all customers simultaneously because of production requirements. Staggering deliveries allows us to provide the best possible customer experience.

2. Effective Date

This Quilt Reservation Agreement becomes effective when (a) you place your Reservation, and (b) we receive your Reservation Deposit.

3. Order Process

While your Reservation secures the approximate delivery priority for the Quilt Product, it does not create a contract for sale. When the start of production for your Reservation nears, we will ask you to confirm your intent to purchase the Quilt Product, and we will provide a proposal with the final system design and purchase price of the Quilt Product, plus estimates of any applicable taxes, duties, transport and delivery charges, any other applicable fees, and the terms and conditions for your purchase of the Quilt Product (the “Quilt Purchase Agreement”). After your execution of the Quilt Purchase Agreement, the Reservation Deposit is no longer refundable and will be applied to the purchase price for the Quilt Product. Until you and Quilt enter into a Quilt Purchase Agreement, your Reservation may be canceled by you or Quilt at any time, in which case you will receive a full refund of your Reservation Deposit. 

4. Acknowledgements; Non-Transferable

You understand that we will not hold your Reservation Deposit separately or in an escrow or trust fund or pay any interest on your Reservation Deposit. Your Reservation and this Quilt Reservation Agreement are not transferable or assignable to another party without the prior written approval of Quilt.

5. Disclaimer

Upon purchase of the Quilt Product, your warranty for the Quilt Product is governed by the Quilt Limited Warranty. Except as otherwise set forth in the Quilt Limited Warranty, you understand and agree this is not a warranty of any kind and, to the fullest extent permitted by applicable law, Quilt disclaims any an all warranties (both express and implied) related to the reservation, including the availability, timing, price and performance of the Quilt product and the implied warranties of merchantability, fitness for any particular purpose, satisfactory purpose, quiet enjoyment, title, or non-infringement. Certain states and jurisdictions do not allow the exclusion of implied warranties with respect to consumers (i.e., a person acquiring goods or services otherwise than in the course of a business), so a portion or all of the disclaimers and exclusions set forth in this Section 5 may not apply to you if you are a consumer.

6. Your Details

From time to time, we will ask you to provide information so that we can perform our obligations under this Quilt Reservation Agreement. We will maintain your personal information in accordance with our Privacy Notice, which is available at

7. General Terms

This Quilt Reservation Agreement sets forth the entire agreement between Quilt and you regarding your Reservation and Reservation Deposit. This Quilt Reservation Agreement may be executed manually or electronically in counterparts.
